This course provides an overview of US law from the variety state jurisdictions concerning restrictive covenants, covenants not to compete, non-solicitation agreements and other non-compete terms and agreements in the employment context.

We look at the statutory, judicial and alternative frameworks the states use to address these issues and engage in a brief survey of the policy considerations, different approaches to the issues involved between various jurisdictions and recent developments in the law pertaining to non-compete arrangements.

The course is intended to provide practical advice to practitioners who are called on to review non-compete provisions in employment agreements or to draft or negotiate agreements around them.
