Julia Gavrilov, Esq.
Julia Gavrilov concentrates her practice in equipment leasing, secured
finance, asset-based lending and all areas of complex commercial litigation.
On the transactional side, Ms. Gavrilov specializes in the drafting of
equipment lease and loan documents in various secured financing
transactions on behalf of secured lenders, banks and lessors, and in
representing both buyers and sellers in syndication and capital market
transactions. Based on her steady rise throughout the leasing and finance
industry, Ms. Gavrilov has been invited to speak on numerous industry
panels, and is slated to be a panelist at various upcoming industry
conferences, including the Legal Forum for the Equipment Leasing and
Finance Association (ELFA) and the ELFA Credit & Collections
conference.
As a seasoned litigator, Ms. Gavrilov’s commercial litigation practice
includes the enforcement and/or preservation of lender/lessor’s rights under
defaulted equipment lease and secured loan transactions, and in regularly
representing both institutional and individual clients in actions involving
breach of contract, fraud, shareholder derivative disputes, trademark
infringement, counterfeiting, trade diversion, Racketeer Influenced and
Corrupt Organization Act (RICO), attorney malpractice and bankruptcy related disputes before the Federal and State courts, as well as various
arbitral bodies.
In addition to her daily practice, Ms. Gavrilov also Chairs the Firm’s
Women’s Initiative program: “MHH WINS” – “Women’s Initiative for
Navigating Success”.

Ms. Gavrilov is admitted to practice in New York, as well as before the
United States District Courts for the Eastern and Southern Districts of New
York, and the United States Court of Appeals for the Second Circuit and the
Supreme Court of the United States.
Ms. Gavrilov is a member of the American, New York State and Nassau
County Bar Associations. She is also member of the Equipment Leasing
and Finance Association (ELFA) where she serves on its Service Providers
Business Council Steering Committee as well as on the Research Committee
of the Equipment Leasing and Finance Foundation. Additionally, Ms.
Gavrilov is a member of the Secured Finance Network's (SFNet) Women in
Secured Finance Committee as well as a member of GGI-Worldwide
Alliance of Independent Law Firms.
Keith J. Frank, Esq.
Keith J. Frank is a Partner of the firm where he Co-Chairs its
Employment Law Practice Group. Mr. Frank handles all areas of
litigation with an emphasis in labor & employment and insurance law.
In particular, Mr. Frank litigates all matters that fall within a client's
D&O, E&O, EPLI and CGL policies. He regularly litigates before
federal, state and local courts and administrative agencies claims of
sexual harassment, discriminatory practices, overtime and wage law,
insurance coverage issues, corporate law and commercial law matters.
In 30 years of practice, Mr. Frank has represented and counseled
government entities, large, medium and small sized manufacturing
companies, retail companies, financial institutions, education institutions,
hospitals, medical practices and professionals, service companies,
apartment building cooperative boards, property management companies,
title companies, real estate agents and not-for-profit entities.
As a recognized leader in his field, Mr. Frank is a frequent speaker on
employment law, trial practice and discovery issues. He regularly
provides CLE training to the bar and continuing education courses. He is
a Past Chair of the Labor and Employment Law Committee of the
Nassau County Bar Association (2011-2013).
Prior to joining the firm, Mr. Frank was a Partner at a firm where he
served as Co-Chair of its Labor & Employment Group. Prior to that, Mr.
Frank served as an Assistant Vice President with Chubb Insurance and as
a Partner and Senior Trial Counsel in Chubb's Long Island In-House
Counsel firm. In this position, he was the Partner in charge of litigating
labor and employment, civil rights, first amendment, commercial,
housing discrimination, condo/cooperative liability; professional
liability; and breach of fiduciary duty cases pursuant to a Chubb
Insured's E&O, D&O or EPLI policy.
From 1992 to 2001, Mr. Frank served as an Assistant General Counsel
with the MTA New York City Transit, Office of the Vice President and
General Counsel where he defended NYC Transit in labor &
employment, police civil rights and general liability cases in federal &
state court and before administrative agencies, including defense verdicts
in wrongful death and high exposure injury cases. In addition, he
counseled executive management on labor issues with the TWU, the

Investigations Unit that investigated allegations of employee
discrimination, harassment and wrongful conduct.

Mr. Frank is admitted to practice in New York, Connecticut and the
District of Columbia as well as before the United States Court of Appeals
for the Second Circuit and the United States District Courts for the
Southern, Eastern and Western Districts of New York.
Mr. Frank is a member of the American Bar Association, the New York
State Bar Association and the Nassau County Bar Association. In
addition, he served on the Board of Directors of Habitat for Humanity of
Suffolk County and is currently an elected Trustee of the Miller Place
School District Board of Education.
